RECOMMENDED ACTION
Recommendation
A. Approve the Second Amendment to the existing Concession Agreement with Mastroianni Family Enterprises, LLC, dba Jay’s Catering for a term to conclude daily operation on August 31, 2025 and for a single day use on October 11, 2025 in the amount of 60 percent (60%) venue fee and 10 percent (10%) food and beverage fee, estimated $3,500 fee; and
B. Authorize the City Manager to execute the agreement on the City’s behalf in a form approved by the City Attorney.
BACKGROUND
Built in 2006, the Rose Center was designed to increase community access to high-quality performance arts and cultural experiences, while providing a much-needed venue for corporate networking, holiday gatherings, and weddings. The Rose Center is part of a lively civic core that includes City Hall, Westminster Senior Center, Orange County Public Library, West Orange County Municipal Courthouse, Coastline Community College, and Goldstein Freedom Park and Vietnam War Memorial.
Since May 2018, Mastroianni Family Enterprises, LLC, dba Jay’s Catering (Jay’s Catering) has operated the event venue side of the Rose Center, including acting as the exclusive caterer, event manager, and providing staffing for rental groups and events (Attachment 1). An amendment (Attachment 2) was made in 2020 to permit Jay’s Catering’s non-exclusive use of the Sunken Gardens. Currently, Jay’s Catering does not pay utility payments or exterior landscape maintenance, but they are responsible for custodial services, telecommunications, and kitchen maintenance along with paying monthly facility lease of $11,500, or 15 percent (15%) of gross receipts commission, whichever is greater.
In February 2025, staff contracted with a consultant to provide a feasibility study of the Rose Center to evaluate alternative management opportunities, assess market rates, evaluate competition, evaluate overall facility usage, review Request for Proposals for venue operator services, and provide a recommendation based on their findings.
In July 2025, Jay’s Catering provided the city with a written 30-day notice to terminate their daily operations, effective August 31, 2025, and requested a single day extension for a wedding scheduled on October 11, 2025. The proposed Second Amendment (Attachment 3) is an extension of the initial term through August 31, 2025, with the single-day extension to allow Jay’s Catering to use the facility for the event on October 11, 2025. All other terms of the agreement remain unchanged. Jay’s Catering has discontinued daily use beginning September 1, 2025, and will return for the October 11, 2025 single-day event whereby they will pay the city 60 percent (60%) of the venue fee and 10 percent (10%) of the food and beverage fee assessed to the final invoice for the wedding party. The estimated value of these fees combined is $3,500, but is subject to final billing due within 10 days after the single-day use.
FISCAL IMPACT
The monthly lease payments of $11,500 by Jay’s Catering were included in the adopted FY 2025-26 budget. The change in contract terms will result in a total reduction $111,500 in the General City Revenue-Rental Income-Facilities line 20000-33560.
